You hereby grant Showingtime Plus, LLC, its affiliates, and its successors and assigns (“the Company”, “us”, “our” or “we”) a worldwide, non-exclusive, fully paid-up, royalty-free, irrevocable, perpetual, sublicensable and transferable license to use, distribute, reproduce, display, and transmit your Media (as defined herein), to create derivatives and derivative works based on your Media, in any and all formats, whether now or hereafter known or devised and by any and all technologies and means of delivery whether now or hereafter known, in each case in connection with any of the Company’s products, services, and businesses (the “Services”), including without limitation to improve the Services. Your “Media” means any images, logos, trademarks, trade names, domain names, photographs, audio, video and any other media (including associated data), in any and all formats, which you deliver to us. You shall retain all of your ownership rights in your Media. This license supersedes and replaces any and all prior licenses to your Media which you may have granted us, including but not limited to any license to Media provided in the Aryeo Terms of Service. You represent and warrant that you are legally entitled to grant this license and that by granting us the license, you are not violating any law, breaching any contract, or infringing upon the rights of any person or entity.
